Terms of use

These terms govern your use of Shard. An investment also has asset-specific offering documents; read them before you commit money because they define the instrument, rights, fees and risks for that asset.

1Who you are contracting with

Shard is operated by Shard Technologies Ltd, a company registered in Nigeria with number RC 9618776. In these terms, "Shard", "we" and "us" mean that company, and "you" means the person using the platform. Contact us at support@shard.ng.

By creating an account or using the platform, you agree to these terms. A purchase is also governed by the relevant offering memorandum, subscription agreement, constitutional documents and any nominee, trust, custody or security arrangement shown before confirmation. Those asset-specific documents control if they conflict with a general description on this website.

2Regulatory availability

Company registration, identity verification and the availability of this website do not by themselves mean that Shard or an offering has been approved by the Securities and Exchange Commission. An investment feature or offer will be made available only where Shard determines that the required approval, registration, exemption or regulated-partner arrangement is in place.

We may restrict products by country, investor category or regulatory limit, and may pause an offer or transaction while a compliance review is completed. You must not bypass a restriction or misstate your location or eligibility.

3Who may use Shard

You must be at least 18, legally able to contract, and use the platform in your own name unless we approve another arrangement in writing. You must give accurate, complete and current information.

Identity, sanctions, fraud and source-of-funds checks may be required before funding, investing, trading or withdrawing. We may refuse, delay, suspend or close an account where checks are incomplete, information is inaccurate, activity appears unlawful, or law or a competent authority requires it.

4What an investment represents

The legal instrument and rights attached to an investment are those stated in its offering documents. Depending on the approved structure, it may be shares or another interest in an asset-owning company, or an instrument held through a nominee, trustee or custodian. You do not acquire physical title to, possession of, or a right to occupy or manage a property merely by investing.

Where a nominee or similar arrangement is used, the nominee may appear as the legal member while Shard or an appointed administrator maintains a separate record of your beneficial entitlement. The offering documents explain which record governs and what happens if an administrator or nominee must be replaced.

You have no right to require Shard to repurchase an investment or force an asset sale unless the offering documents expressly say otherwise.

5Payments, wallet and distributions

A Shard wallet is an account feature for recording funds and transactions; it is not a bank account, savings product or promise of interest. The treatment and safeguarding of client money will follow the disclosed payment, banking or custody arrangement.

Prices, units and currency conversions are calculated at confirmation using the listing terms and applicable rate. Review the final amount, currency, units and charges before confirming. A quote may expire or change before completion.

Distributions depend on cash actually received and available after applicable costs, reserves, taxes, fees and approvals. They are not guaranteed, may be delayed, may vary, and may be nil. The schedule in the offering documents controls.

Withdrawals are made only through supported channels and are subject to verification, compliance review, provider availability and any lawful hold. We do not promise a fixed processing time.

6Fees and currency conversion

Fees and asset-level costs are shown before you commit and in the relevant offering documents or transaction confirmation. They may include platform, management, payment, custody, administration, sale, tax and third-party charges.

A currency conversion uses the disclosed rate. Provider charges or a disclosed conversion margin may apply. We will show the rate and charges available to us before you confirm.

We may change platform fees on reasonable notice, but a change will not be applied retrospectively to a completed transaction unless the governing documents expressly permit it.

7Your responsibilities

Keep your credentials and devices secure, review confirmations, and keep your contact, tax residency and payout details current. Notify us promptly of suspected unauthorised access or an incorrect transaction. You are responsible for your tax position and should obtain independent advice.

  • Do not use Shard for unlawful activity, money laundering, terrorist financing, sanctions evasion or fraud.
  • Do not access another account, interfere with the service, introduce malicious code, scrape the platform, or automate transactions without written permission.
  • Do not provide misleading information, impersonate another person, manipulate a market, or use another person’s funds without lawful authority.

8Risk and no advice

Investments can lose value and income, may be difficult or impossible to sell, and may result in the loss of all capital. A displayed valuation or projected return is not a guaranteed return or an executable sale price.

Shard provides general product information, not a personal recommendation or investment, legal, accounting or tax advice. Read the full risk disclosure and the asset-specific documents and take independent advice where appropriate.

9Conflicts of interest

Shard, an affiliate, a property manager, arranger, nominee, lender, sponsor or other service provider may receive fees or have an interest in a transaction. Material conflicts and related-party arrangements known for an offer will be disclosed in its documents and managed under the applicable process. A conflict cannot always be eliminated.

10Availability and electronic communications

We do not guarantee uninterrupted access. We may suspend a feature for maintenance, security, legal or provider reasons. A planned feature is not available until the platform expressly says it is live.

You agree to receive account records, notices and agreements electronically at the contact details you provide. Keep copies of documents and tell us if your details change.

We may update these terms on reasonable notice. A change that materially affects an existing investment will apply only as permitted by its governing documents and applicable law.

11Our liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation, or removes a right you have under applicable law.

To the extent permitted by law, Shard is not responsible for investment loss caused by market movements, vacancy, borrower or tenant default, a disclosed risk, or the independent act or failure of a bank, registry, network, provider or other third party outside our reasonable control. We remain responsible where the law makes us responsible.

To the extent permitted by law, neither party is liable to the other for an indirect or consequential loss that was not reasonably foreseeable when the contract was formed. This clause does not limit rights or remedies that cannot lawfully be limited.

12Suspension and closing your account

You may ask to close your account once there is no open transaction, holding, debt, restriction or wallet balance. Closing an account does not create a right to redeem an illiquid investment.

We may restrict or close an account for breach, security risk, failed verification or a legal requirement. Any return of funds remains subject to lawful restrictions, reconciliation and verification of the destination account. Clauses that by their nature should survive closure continue to apply.

13Complaints

Email support@shard.ng with the subject “Complaint” and include enough detail for us to investigate. We will acknowledge it promptly, keep you informed and provide our final response as soon as reasonably practicable. Any escalation route or deadline required by law or stated in the relevant offering documents also applies.

14Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have jurisdiction, subject to any mandatory consumer right or dispute process that applies and any valid dispute clause in the relevant offering documents.
